Terms of Service

These Terms of Service (the "Terms") govern use of the websites operated by Citadel Ridge LLC, a Wyoming limited liability company ("Citadel Ridge"). By accessing or using the sites, you agree to these Terms. If you do not agree, do not use the sites.

  1. Informational use only. The sites describe Citadel Ridge's consulting and advisory services. Content on the sites is general information. It is not legal, tax, accounting, investment, or financial advice, and it is not an offer or solicitation to buy or sell any security.
  2. No client relationship. Use of the sites, submission of any form, or communication through the sites does not create a client, advisory, or fiduciary relationship. Citadel Ridge provides services only under a written engagement agreement executed by both parties.
  3. No guarantee of outcome. Descriptions of methods, engagements, or results are illustrations of services offered. Citadel Ridge does not guarantee any outcome, including the availability, amount, pricing, or terms of any financing, the closing of any transaction, or any sale price.
  4. Eligibility. The sites are intended for businesses and their representatives who are at least 18 years of age.
  5. Acceptable use. You will not misuse the sites, including by interfering with their operation, attempting unauthorized access, scraping at scale, or submitting unlawful, infringing, or misleading content.
  6. Intellectual property. The sites and their content, including text, marks, methods descriptions, and the Ridgeline name, are the property of Citadel Ridge or its licensors. No license is granted except to view the sites for their intended purpose.
  7. Submissions. Information you submit through the sites is handled under the Privacy Policy. Do not submit confidential information until an engagement agreement and confidentiality terms are in place; unsolicited submissions are not received in confidence.
  8. Third party links. The sites may link to third party sites. Citadel Ridge is not responsible for their content or practices.
  9. Disclaimer. THE SITES AND THEIR CONTENT ARE PROVIDED AS IS AND AS AVAILABLE, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT.
  10. Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CITADEL RIDGE IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF THE SITES, AND ITS TOTAL LIABILITY ARISING FROM USE OF THE SITES WILL NOT EXCEED $100.
  11. Indemnification. You will indemnify Citadel Ridge against claims arising from your misuse of the sites or violation of these Terms.
  12. Governing law and disputes. These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles. Any dispute arising from the sites or these Terms will be resolved by final and binding arbitration before a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association, seated in Anchorage, Alaska. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS OR REPRESENTATIVE PROCEEDING. Either party may seek provisional or injunctive relief in the state or federal courts sitting in Anchorage, Alaska.
  13. Changes. Citadel Ridge may update these Terms by posting a revised version with a new effective date. Continued use after posting is acceptance.
